These Terms & Conditions / Service Policy explain how Memento Vid Enhancements™ by MMP® provides its services. In this document, Memento Vid Enhancements™ by MMP® may be referred to as “MVE,” “we,” “us” or “our.”

The person, business or organisation submitting a request or purchasing a service may be referred to as “the customer,” “you” or “your.”

Please read these terms carefully before submitting a service request, accepting a quote or making a payment.

1. About MVE

MVE provides personalised video-editing and memory-film services using customer-supplied materials.

Depending on the service selected and the written quote agreed upon, MVE may work with:

  • photographs;

  • short video clips;

  • audio recordings;

  • voice notes;

  • written messages;

  • logos and brand assets;

  • approved stock assets;

  • licensed music or sound effects;

  • AI-assisted creative or technical enhancements; and

  • other agreed digital materials.

Services may include:

  • photo and clip sequencing;

  • short-film editing;

  • titles, captions and message screens;

  • colour balancing;

  • audio balancing;

  • music-led pacing;

  • transitions;

  • stabilisation;

  • visual clean-up;

  • image-to-video movement;

  • visual upscaling;

  • stock footage or filler clips;

  • sound effects;

  • voiceover support;

  • digital export; and

  • electronic delivery.

The exact service supplied depends on the selected offer, the customer’s submitted materials, the agreed scope and the written quote confirmed before work begins.

MVE is an editing service. MVE is not a permanent storage, cloud-backup or archiving provider.

2. MVE Service Options

MVE may offer the following service routes:

2.1 PAYG Personal Memory Films

PAYG films are one-off editing services. The current website cards explain the available package names, prices, maximum number of submitted files, expected finished-film length and included features.

2.2 Monthly MVE Memberships

Monthly memberships provide a recurring service allowance according to the membership card selected and the written confirmation supplied when the membership begins.

2.3 Add-On Finish Cards

Add-On Finish cards provide additional creative or technical finishing options. These are available to PAYG customers and membership customers where appropriate.

Current Add-On Finish categories may include:

  • Card 1: Personal Touches

  • Card 2: Polished Film Flow

  • Card 3: Premium Finish

2.4 MVE Business Hub

The MVE Business Hub provides promotional-film and short-advert editing services for businesses, organisations and brands using their existing photographs, clips and approved brand materials.

Unless expressly confirmed in writing, MVE Business Hub services do not include filming or on-location production. Any future filming service would be separately agreed and quoted.

2.5 Bespoke Requests

Complex, unusual or labour-intensive requests may be quoted separately.

Each service route is a separate offer with its own inclusions, limits and price. Purchasing one service does not automatically include the benefits of another unless this is clearly stated on the relevant website card or confirmed in writing.

3. Website Descriptions and Written Quotes

Customers should review the relevant website descriptions before submitting a request.

The website card displayed at the time an order is confirmed forms part of the service description. A written quote or written service confirmation may also set out:

  • the selected package;

  • the agreed price;

  • the anticipated film length;

  • the number and type of files accepted;

  • the agreed creative treatment;

  • the included revisions;

  • any selected add-ons;

  • the expected delivery format;

  • the estimated timescale; and

  • any project-specific conditions.

Where a written quote contains project-specific details, those details take priority over general website wording for that individual project.

A quote remains valid for the period stated in the quote. If no validity period is stated, MVE may confirm whether the quote remains available before payment is made.

4. Service Request Form and Contract Formation

Submitting the MVE Service Request Form does not automatically confirm a booking and does not guarantee that MVE will accept the project.

The usual process is:

  1. You review the website descriptions and select the options that appear most suitable.

  2. You submit the MVE Service Request Form and provide your project details.

  3. You upload your files or provide an approved file-sharing link where appropriate.

  4. MVE reviews the request, the scope and the available materials.

  5. MVE may ask for clarification or recommend a different service option.

  6. MVE confirms whether the request can be accepted.

  7. MVE confirms the final price or sends a written quote and a secure payment route.

  8. The required payment clears.

  9. MVE begins the agreed work.

  10. MVE supplies the completed film or an agreed review version electronically.

A paid service contract is formed only when MVE confirms acceptance of the project in writing, and the required payment has cleared.

MVE may decline a request before accepting the project.

5. Who May Place an Order

Customers must be aged 18 or over.

A person submitting a request on behalf of a business, organisation or another individual confirms that they are authorised to do so.

Customers must provide accurate contact details and must not submit false, misleading or incomplete information.

6. Customer-Supplied Files and Secure Backups

Customers are responsible for keeping secure backup copies of all original photographs, video clips, audio recordings, written materials and other files before uploading them.

Customers must retain their own originals:

  • while files are being uploaded;

  • while MVE is reviewing the request;

  • throughout editing;

  • during any review period;

  • while revisions are outstanding; and

  • until the completed film has been safely downloaded and checked.

Customers must not delete their original files merely because copies have been uploaded or shared with MVE.

MVE takes reasonable care when handling submitted files. However, MVE cannot accept responsibility for loss, corruption, failed transfer, inaccessible files, invalid links, expired links, third-party platform problems, customer deletion or circumstances outside MVE’s reasonable control.

Nothing in these terms removes any responsibility that cannot legally be excluded.

7. Uploads and File-Sharing Links

Customers may upload approved files through the MVE Service Request Form or provide an approved secure file-sharing link.

Where a link is provided, the customer is responsible for ensuring that:

  • The link is correct;

  • The permissions allow MVE to access the files;

  • The files remain available until MVE confirms receipt;

  • The files are organised clearly, where possible; and

  • The files are not deleted prematurely.

Upload or access problems may delay the project.

MVE may request a replacement link, a different transfer method or a more organised file selection where necessary.

8. Copyright, Licensing and Permission to Submit Materials

Customers must only submit materials that they own or have the necessary permission, authority or valid licence to use.

This applies to:

  • photographs;

  • video clips;

  • audio recordings;

  • music tracks;

  • logos;

  • brand assets;

  • product images;

  • testimonials;

  • graphics;

  • professional photography;

  • stock assets;

  • supplier materials;

  • written wording; and

  • any other items supplied to MVE.

Submitting materials to MVE does not transfer ownership of those materials to MVE or Mish Mash Publications Ltd.

The customer grants MVE a limited permission to access, review, process, edit and deliver the submitted materials only as reasonably necessary to provide the agreed service.

Where submitted media features other people, the customer confirms that they have the necessary permission to provide the material for editing. This includes permission relating to:

  • family members;

  • friends;

  • customers;

  • staff;

  • children;

  • young people; and

  • vulnerable individuals.

Where media features a child or young person, the customer confirms that they are the parent or legal guardian or have permission from the parent or legal guardian.

MVE does not provide copyright-clearance, trademark-search or legal-verification services. MVE does not independently authenticate the ownership or licensing status of every item supplied by the customer.

MVE may ask for licence details, source links or evidence of permission where appropriate.

9. Unacceptable or Restricted Materials

Customers must not submit unlawful, unsafe, abusive, exploitative, defamatory, misleading, offensive or rights-infringing materials.

MVE may refuse, pause or close a project where:

  • Submitted content may be unlawful or inappropriate;

  • Permissions are unclear;

  • Copyright or licensing concerns arise;

  • The requested use may create legal, ethical or reputational risk; or

  • Continuing the project would fall outside the agreed service scope.

Where possible, MVE may ask the customer to remove or replace an affected item.

10. Licensed Music, Stock Assets and Creative Materials

MVE may use approved licensed music, sound effects, stock footage, stock images, Canva assets, AI-assisted tools or other suitable creative materials where the relevant terms permit the intended use.

Customers may request a preferred style, mood or genre of music. MVE cannot guarantee the use of a specific commercial song unless suitable rights are available.

Customers must not supply music, photographs, clips or other materials that they do not have the right to use.

Additional licensing costs or specialist requests may be quoted separately.

11. AI-Assisted Enhancements

Where selected and agreed, MVE may use AI-assisted tools for approved creative or technical enhancements.

These may include:

  • visual improvement;

  • image-to-video movement;

  • sharpening;

  • upscaling;

  • lighting or colour improvement;

  • AI-assisted sound effects and

  • other agreed visual treatments.

Results vary depending on the quality and condition of the original media. MVE cannot guarantee that an AI-assisted enhancement will produce a perfect or identical result.

Where third-party tools are used to process personal media, the relevant handling arrangements will be explained in the separate MVE Privacy Notice.

12. Temporary Storage and Deletion

Submitted media is stored temporarily while MVE reviews, prepares, edits and completes the agreed project.

MVE does not provide permanent cloud storage, archiving or backup services.

Uploaded media and working edit files will normally be deleted from MVE’s active storage within 14 days after final approval or project closure.

Customers are responsible for downloading and safely storing their completed film promptly.

Limited administrative records may be retained where reasonably necessary for legal, accounting, dispute-resolution or regulatory purposes. These may include:

  • order details;

  • service-request records;

  • consent records;

  • invoices;

  • payment records;

  • correspondence; and

  • complaint records.

Further details will be explained in the separate MVE Privacy Notice.

13. Privacy and Confidentiality

MVE uses customer information only where reasonably necessary to:

  • review service requests;

  • communicate with customers;

  • prepare quotes;

  • manage orders;

  • provide editing services;

  • process payments;

  • deliver completed films;

  • manage complaints; and

  • meet legal or regulatory responsibilities.

Customer media will not be sold.

Customer photographs, clips, recordings or completed films will not be published on the MVE website, in a portfolio, in advertising or on social-media channels without separate written permission.

MVE may use necessary service providers for functions such as:

  • website hosting;

  • payments;

  • file transfer;

  • cloud storage;

  • customer communications; and

  • approved editing tools.

Further details about personal-data handling, retention, service providers and customer rights will be set out in the separate MVE Privacy Notice.

14. Marketing and Portfolio Permission

Marketing and portfolio use are optional.

A customer’s decision not to allow marketing or portfolio use will not affect the service they receive.

If MVE wishes to use selected customer material for marketing, advertising, social media or portfolio purposes, MVE will request separate written permission.

Any permission must be specific and may be withdrawn for future use by contacting:

info@mishmashpublications.com

Withdrawal does not require MVE to remove materials from printed items or campaigns already completed before the withdrawal request was received, where removal is not reasonably possible.

15. PAYG Personal Memory Films

PAYG Personal Memory Films are one-off services.

Each PAYG package has its own:

  • price;

  • submitted-file limit;

  • expected finished-film length;

  • included features;

  • review allowance; and

  • delivery format.

The current website cards explain the offer available at the time the customer submits a request.

Where submitted files exceed the selected package limit, are unusually long, require extensive sorting or involve additional work,

MVE may recommend a different package or issue a bespoke quote before work begins.

Launch prices and promotional offers may be changed or withdrawn for future orders. Once an order has been accepted and paid, the agreed price will not change unless the customer requests additional work or the agreed scope changes.

16. Monthly MVE Memberships

Monthly memberships provide a service allowance for the relevant billing cycle.

The selected website membership card and written confirmation explain:

  • the monthly price;

  • the included film allowance;

  • the maximum number of submitted files;

  • the permitted clip length;

  • the expected finished-film length;

  • any included revisions;

  • any selected member benefits; and

  • any included or discounted add-ons.

Membership allowances are service-based only. They are not:

  • cash balances;

  • stored monetary credits;

  • vouchers;

  • transferable benefits; or

  • exchangeable for cash.

Unused monthly allowances do not roll over into a future billing cycle unless MVE expressly confirms otherwise in writing.

Memberships renew monthly until cancelled through the cancellation method stated when the membership begins.

Cancellation stops future billing. Unless the law requires otherwise, the membership remains active until the end of the paid billing cycle.

MVE may review or change membership prices for future billing cycles by providing reasonable advance notice. A future price change will not be applied retrospectively.

A customer may cancel before a future renewal if they do not wish to continue at a revised price.

Where the relevant website card states that selected Card 1 or Card 2 Add-On Finish options are included within a premium membership, the customer may select from those included options only. Card 3: Premium Finish remains a separately priced upgrade unless MVE expressly confirms otherwise in writing.

Bespoke or out-of-scope requests may be quoted separately.

17. Add-On Finish Cards

Add-On Finish cards are available to PAYG and membership customers where appropriate.

The current categories may include:

Card 1: Personal Touches

Personalisation options such as names, dates, captions, messages, opening screens, dedication screens and closing screens.

Card 2: Polished Film Flow

Refinement options such as selected transitions, stabilisation, colour balancing, audio balancing and music-led pacing adjustments.

Card 3: Premium Finish

Higher-level enhancements such as image-to-video movement, visual upscaling, cinematic sound design and voiceover support.

Add-ons are priced separately unless a website membership card or written quote clearly states that selected options are included.

A membership benefit referring to included add-ons does not mean that every service listed within a full paid Add-On Finish card is included.

18. MVE Business Hub

MVE Business Hub services are designed for businesses, organisations and brands requiring promotional films or short adverts created from their existing approved materials.

The customer confirms that they are authorised to submit all business materials, including:

  • logos;

  • brand assets;

  • product images;

  • customer photographs;

  • staff footage;

  • testimonials;

  • music;

  • supplier assets; and

  • any third-party materials.

MVE Business Hub pricing may depend on:

  • the intended use;

  • the selected package;

  • the number of promos required;

  • platform requirements;

  • branding;

  • licensing;

  • footage volume;

  • footage condition;

  • deadlines;

  • export formats;

  • revisions;

  • specialist editing; and

  • any approved freelance support.

A written quote or payment confirmation will be provided before paid commercial work begins.

Unless expressly confirmed in writing, MVE Business Hub services do not include filming.

19. Bespoke, Complex or Out-of-Scope Requests

A separate quote may apply where submitted media or the requested service is:

  • unusually large;

  • unsorted;

  • excessively long;

  • low quality;

  • technically difficult to access;

  • outside the selected package limit;

  • likely to require extensive manual work;

  • dependent on specialist licensing;

  • dependent on an unusual export format; or

  • otherwise outside the normal service scope.

MVE may recommend a different package, an hourly rate or a bespoke quote before work begins.

MVE will not carry out additional paid work unless the customer agrees to the revised scope and charge in writing.

20. Prices, Payments and Payment Links

Prices are shown in pounds sterling unless otherwise stated.

The final price will be confirmed before work begins.

The required payment must clear before MVE starts the agreed work unless MVE expressly agrees a different arrangement in writing.

Where appropriate, MVE may send a secure payment link for the agreed amount.

Available payment methods may vary depending on:

  • the payment route used;

  • the customer’s eligibility;

  • the transaction value;

  • third-party provider availability; and

  • The terms applied by the payment provider.

Where a third-party instalment or payment provider is shown at checkout, its approval decision, spending limits and customer agreement are separate from MVE. MVE cannot guarantee that a particular payment option will be available for every customer or every service.

VAT will be stated separately where applicable.

MVE will not begin additional work until any additional charges have been agreed and paid, where required.

21. Turnaround Times

MVE will provide an estimated timescale where possible.

Turnaround time may depend on:

  • the selected package;

  • the volume and condition of the submitted media;

  • file accessibility;

  • add-ons;

  • customer response time;

  • revisions;

  • workload;

  • payment delays;

  • third-party service availability; and

  • circumstances outside MVE’s reasonable control.

A preferred completion date entered on the MVE Service Request Form is not automatically guaranteed.

MVE will review the requested timescale and confirm whether it is realistic.

Urgent turnaround may be available at an additional cost, but it is not guaranteed.

22. Revisions

A revision means a reasonably small change to the existing edit.

Examples may include:

  • correcting text;

  • replacing a small number of clips or photographs;

  • a minor timing adjustment;

  • a small caption change; or

  • a minor audio-level adjustment.

A revision does not include:

  • a full re-edit;

  • a new creative direction;

  • replacing most of the submitted materials;

  • changing the package after editing has begun;

  • adding major new enhancements;

  • requesting extra formats not included in the original order; or

  • adding substantial new footage.

The number of included revisions depends on the selected package, membership or written quote.

Requests outside the included revision allowance may be quoted separately.

Customers should submit revision requests within the review period stated in the delivery message or written confirmation.

23. Customer Response Times and Inactive Projects

Customers should respond promptly to requests for:

  • files;

  • accessible links;

  • clarification;

  • quote approval;

  • draft review;

  • revision instructions; and

  • payment.

Where a customer does not respond for a prolonged period, MVE may pause or close the project after providing reasonable notice where appropriate.

Files may be deleted in line with the temporary retention policy after project closure.

Reopening a closed project may require a new quote, particularly where files must be uploaded again or previous working files have been deleted.

24. Delivery and Customer Download Responsibility

Completed films are normally supplied electronically by download link or another agreed digital method.

Customers are responsible for:

  • downloading the final film promptly;

  • checking that the file opens correctly;

  • retaining a secure copy; and

  • creating their own backup copies.

Where a customer shares or uploads the completed film to third-party platforms such as TikTok, Instagram, Facebook, YouTube or WhatsApp, MVE is not responsible for changes caused by those platforms.

These may include:

  • compression;

  • reduced quality;

  • altered audio;

  • cropping;

  • platform restrictions;

  • copyright handling;

  • upload failures; or

  • changes to playback quality.

25. Consumer Cancellation Rights for Online Orders

Where UK distance-selling rules apply, consumers generally have a 14-day cancellation period beginning when the service contract is entered into.

Submitting a service-request form alone does not automatically start the paid service.

If you ask MVE to begin work during the 14-day cancellation period, MVE may ask you to make an express request for work to begin.

If work begins during the cancellation period at your request and you later cancel, MVE may charge a proportionate amount for work already supplied where the law permits.

Where a service has been fully performed during the cancellation period following the necessary express request and acknowledgement, the right to cancel may be affected where the law permits.

Where immediately downloadable digital content is supplied during the cancellation period, MVE may ask for your express consent to begin supply and your acknowledgement that applicable cancellation rights may be affected once supply begins.

Personalised services do not automatically remove statutory consumer rights.

Nothing in these terms limits or removes any statutory right that applies to you.

26. Refunds

Refund requests will be considered fairly in line with applicable consumer law and the stage of the project.

A full refund may not be available where:

  • Work has already been supplied at the customer’s request;

  • The customer changes their mind after work begins;

  • The customer does not provide usable files or required information;

  • The customer requests work outside the agreed scope;

  • delays result from inaccessible links or customer non-response;

  • the customer fails to download the final file within the available period; or

  • The customer has received the agreed service.

Any refund decision will take account of the work completed and the customer’s statutory rights.

Nothing in this section removes statutory consumer rights.

27. Late Business Payments

For business-to-business projects, the agreed payment terms will be stated in the written quote, invoice or confirmation.

Where a business payment becomes overdue, MVE may claim statutory interest and permitted recovery costs where the law allows.

Consumer late-payment matters will be handled fairly and transparently.

28. Refusal, Pause or Closure of a Project

MVE may refuse, pause or close a project where:

  • Submitted content may be unlawful, unsafe or inappropriate;

  • permissions are unclear;

  • Copyright or licensing concerns arise;

  • required files are inaccessible;

  • The customer does not respond;

  • The customer behaves abusively;

  • payment is not made;

  • The request falls outside the agreed scope;

  • continuing the project may create legal, ethical or reputational risk; or

  • Circumstances outside MVE’s reasonable control prevent completion.

Where work has already begun, any refund decision will depend on the work completed and applicable law.

29. Limitation of Liability

MVE will perform its services with reasonable care and skill.

MVE is not responsible for losses or problems caused by:

  • poor-quality original footage;

  • inaccurate or incomplete customer instructions;

  • customer failure to keep backup copies;

  • customer deletion of original files;

  • inaccessible or expired file-sharing links;

  • third-party platform restrictions or compression;

  • copyright or licensing problems caused by customer-supplied materials;

  • customer failure to download final files promptly;

  • customer non-response;

  • payment-provider decisions;

  • internet, software or platform failures outside MVE’s reasonable control; or

  • other events outside MVE’s reasonable control.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

Nothing in these terms removes statutory consumer rights.

30. Complaints

If you have a concern about an order, please contact:

info@mishmashpublications.com

Please include:

  • your name;

  • your contact details;

  • your order or request details; and

  • a clear explanation of the issue.

MVE will review complaints fairly and respond within a reasonable period.

For privacy-related concerns, please refer to the separate MVE Privacy Notice.

31. Updates to These Terms

MVE may update these Terms & Conditions / Service Policy from time to time.

The version accepted when an order is confirmed will normally apply to that project unless a change is required by law or agreed with the customer.

Membership customers will receive reasonable notice of material changes affecting future billing cycles where appropriate.

32. Governing Law

These Terms & Conditions / Service Policy are governed by the laws of England and Wales.

Any dispute will be handled under the jurisdiction of the courts of England and Wales, subject to any mandatory consumer rights that apply in the customer’s country of residence.
